Monadnock Mushroom Club Bylaws

1.

The Corporation shall be known as “Monadnock Mushroom Club.”

2.

The Club’s purpose will be to study fungi in natural habitats. Via events such as forays in the Monadnock region, the Club will engage the public in advancing knowledge of mushrooms and other fungi, including understanding their roles in maintaining New Hampshire forest health.

The fiscal year shall be the calendar year.

4.

The officers of the Corporation shall be President, Vice President, Secretary, and Treasurer, who will belong to the Board of Directors, which manages the Corporation and plans and directs Club activities. The Board will have at least five members, with three-year renewable terms starting January 1st. At large Board Members shall have staggered term expirations.

Elections of officers and other Board members will be held at the Annual meeting by ballot of the members of the Corporation in good standing, as defined by paid-up membership dues. There will be no limitation on terms of officers, subject to re-election. Club members in good standing will be notified in writing at least two months prior to the planned annual election of officers, to allow those interested in officer positions to declare their intent to stand for election.

Members shall consist of the following: Individual, Family, and Complimentary Memberships. Each member is entitled to one vote.

Written communications between officers, directors, and Club members shall be by regular mail, courier, or electronic mail.

Vacancies of the Board will be filled by appointment by the remaining members of the Board.

A quorum of the Board will be more than half of existing members of the Board. Matters to be approved by a scheduled meeting of the Board will be by majority vote of Board members present.

10.

Amendment of the by-laws will require approval by at least 2/3rds of Board members present and voting at a meeting announced at least two weeks before the planned vote.

11.

Upon dissolution of the Corporation, any remaining funds shall go to one or more other non-profit education-oriented mycological societies in the region. If such institutions do not exist, or reject the donation, remaining funds shall go to Monadnock Community Foundation.
